- Assisting tax team with structuring tax-related advice for market entry, joint venture and M&A transactions

- As part of the energy team, my role involved reviewing the project PPA and IA and assisting with identifying the specific issues and incorporating the recommendations as conditions to the first drawdown under the facility agreement
- Assisted a leading Thai listed finance institution in its acquisition of a minority stake in a Cambodian state-owned finance institution (deal value: THB300 million approx.)
- The role included preparing the transaction documents, serving as local counsel to conduct thorough legal due diligence, and providing closing support
- Assisted a leading European MNC in advocacy with government stakeholders for the use of a combined heat power system (CHP) for generating steam and electricity for self-consumption at its factory site
- This included interacting with government stakeholders to determine whether a direct purchase of power from a biomass facility would be a viable way to transit to 100% renewable energy consumption to meet the client's net-zero targets
- Advised a Cambodian entity on the sale of a substantial minority share to a Singaporean private equity fund investment in the logistics industry through a phased investment structure (link) (value: USD10 million approx.)
- Scope included advising on the investment structure from a legal and taxation perspective, and reviewing and negotiating the definitive agreements with the buyer
- Assisted a prominent multinational corporation with headquarters in Singapore with legal due diligence, as well as the preparation and negotiation of final agreements related to its acquisition of a controlling majority stake in a beverage maker and distributor in Cambodia (deal value: USD 30 million)
- Advised a group of investors on the sale of a minority ownership stake in a financial leasing company in Cambodia to a Taiwanese public company (link) (deal value: USD17 million)

- Advised Mitsubishi Group's Hong Kong-based subsidiary, the Diamond Generating Asia on the viability of the first wind power project under development in southern Laos (600MW approx.)
- The role involved examining the project's concession agreement and the power purchase agreement and determining the project's bankability from a standpoint of potential legal risks
- Acted for BCPG PCL, a leading Thai power producer, to purchase a 100% stake in the Nam San 3A and Nam San 3B hydropower projects (link) (deal value: around USD 287 million)
- The role involved reviewing the share purchase agreement, conducting due diligence, and assisting with the closing
- We won two more deals as a result of the aforementioned transaction's success: an investment in a transmission line project and another purchase of a hydropower plant
- Advising a Thai independent power producer to acquire 49% of a 912MW hydropower project that was in the feasibility study phase at that time
- Advised Scatec ASA in acquiring an indirect minority interest in Theun-Hinboun Power Project (520 MW and the first PPP project in Laos)
- The role involved carrying out legal due diligence and advising on red-flag issues
- Acted for a consortium of European development banks (FMO, FINNFUND, and PROPARCO) to offer Burapha Agro-Forestry Co., Ltd
